Caroline Matkom helps businesses navigate complex legal and strategic matters with practical, business-focused counsel. She works with companies at every stage of growth, supporting corporate transactions, governance, and day-to-day operations while helping clients address emerging legal issues in technology, privacy, and artificial intelligence. Her multidisciplinary background enables her to anticipate risks, identify opportunities, and deliver solutions that support her clients' long-term business objectives.
As a member of DeWitt's Business and Corporate Practice Group, Caroline advises clients on a broad range of corporate matters, including mergers and acquisitions, entity formation and governance, contract drafting and negotiation, and general business counseling. She understands that today's business transactions often extend beyond traditional corporate issues. Her experience in privacy, cybersecurity, and AI enables her to identify legal and operational considerations that increasingly shape transaction value, regulatory compliance, and business risk.
Clients value Caroline's thoughtful, collaborative approach and her ability to translate complex legal and regulatory developments into practical guidance. Whether supporting an acquisition, negotiating commercial agreements, or advising on corporate governance, she remains focused on helping businesses make informed decisions with confidence.
Before joining DeWitt, Caroline served as a Data Privacy Fellow at a law firm, where she drafted privacy notices and data retention policies, negotiated vendor agreements, and advised organizations on corporate governance, employment matters, and privacy compliance, while serving as assistant outside general counsel. Her interest in data privacy law began during her time at Google, where she developed a strong foundation in the field that continues to inform her practice. She also gained valuable experience during law school with the U.S. Department of Justice's Privacy and Civil Liberties Office, the U.S. Department of Homeland Security, Sony's Global Privacy team, and OpenAI. These experiences provided firsthand insight into the evolving legal landscape surrounding privacy, cybersecurity, artificial intelligence, and emerging technologies—knowledge she now leverages to support businesses navigating increasingly complex legal and commercial environments.
Caroline earned her Juris Doctor from Tulane University Law School, where she competed on the National Mock Trial Team, participated in the Criminal Justice Clinic, and received the Outstanding Community Service Award for founding the Tulane Medical-Legal Clinic, which integrated law students into free medical clinics throughout New Orleans to provide legal services to underserved communities. While at Tulane, she also served as an Artificial Intelligence Research Assistant, analyzing litigation trends involving AI and emerging technologies. She earned her bachelor's degree from the University of Wisconsin–Madison, where she served as Commencement Speaker, Senior Class Vice President, and Gamma Phi Beta President. Caroline is a Certified Information Privacy Professional (CIPP/US) through the International Association of Privacy Professionals (IAPP).
Outside of her legal practice, Caroline is passionate about expanding access to education for women around the world. She partners with nonprofit organizations to help remove barriers to education and support lasting community impact.
